Terms of Service

The contract for using Apeiro IQ: how plans renew and bill, how to cancel, what you are responsible for when you text and call, and what we are responsible for.
1. Who we are and how you agree
Apeiro IQ is a product of Wilkinson Impact, a business run by Tim Wilkinson in Crowley, Texas (“we”, “us”, “our”). These Terms of Service (“Terms”) are a contract between us and the person or business that signs up for Apeiro IQ (“you”). They cover the website at apeiroiq.com, the app at app.apeiroiq.com, the help center at docs.apeiroiq.com, and everything you use through them (together, the “Service”).
You agree to these Terms when you check the box at checkout, pay for a plan, or use the Service. If you sign up for a business, you confirm that you are allowed to agree for that business, and “you” means the business.
These pages are part of the Terms: the Privacy Policy, the SMS Terms, the Acceptable Use Policy, the AI Use Policy and the Refund and Cancellation Policy.
Our mailing address is 910 S Crowley Rd, Ste 9 PMB 1057, Crowley, TX 76036.
2. Words we use
- Account: your paid subscription and the billing details tied to it.
- Workspace: the space in the app where your contacts, pipelines, task boards, messages and settings live. An Account can include more than one Workspace if your plan allows it.
- Authorized Users: the people you invite into your Workspace, such as staff, partners or assistants.
- Customer Data: everything you or your Authorized Users put into the Service, including End Contact records, messages, recordings, files and notes.
- End Contacts: your own leads, sellers, buyers, lenders, students, clients and other people whose information you keep in your Workspace.
- Communication Services: text messages, phone calls, voicemail and email sent or received through the Service.
- AI Features: parts of the Service that use artificial intelligence, such as AI agents that answer calls and messages, AI drafting, and summaries.
- Usage Charges: charges for use beyond the allowances included in your plan, billed at our published rates.
- Business System: a ready-made setup for one line of work (pipelines, fields, automations with written messages, and form routing) that we install in your Workspace.
3. Your account
You must be at least 18 years old and use the Service for business purposes. The information you give us when you sign up must be true and kept current.
Keep your login details private. You are responsible for everything that happens under your Account, including what your Authorized Users do. Tell us at once at support@apeiroiq.com if you think someone has used your Account without permission.
Who owns a Workspace. The person or business named on the Account owns the Workspace and its Customer Data. The Account owner decides who is an Authorized User and what each one can see. If people on a team disagree about who controls a Workspace, we follow the Account owner on our billing records, and we may ask for proof before making a change.
4. Plans, renewal and usage
- Monthly and automatic. Every plan is billed monthly and renews automatically each month on the same date until you cancel.
- Price. The price is the one shown on the pricing page and at checkout when you buy. Before you pay, checkout shows the price, that the plan renews monthly until you cancel, and how to cancel.
- Allowances. Each plan includes usage allowances, such as text messages, call minutes, emails and AI agent minutes. The amount of each allowance, and whether it resets each billing month, is shown in your plan. Unused allowance does not carry over and has no cash value.
- Usage beyond the allowance is prepaid. Use beyond your allowance (“Usage Charges”) is paid from usage credits in your Account, at the rates published on the pricing page or in the app. You buy credits in advance. Credits have no cash value and are not refunded, whether used or unused, including when your plan ends. You can see your credits and your usage in the app.
- Automatic top-up. You can turn on automatic top-up. When your credits fall below the level you choose, we charge your payment method the top-up amount you choose. You can turn it off at any time in the app.
- When credits run out. If automatic top-up is off, or a top-up charge fails, usage-based features such as texts, calls, emails, AI features and automation runs stop when your credits reach zero, until you add credits. Messages, calls and automation steps that could not run may not be sent later. We are not responsible for anything that did not run because your credits ran out.
- Extra Business Systems. A Business System beyond what your plan includes is a one-time add-in, charged at the price shown when you order it.
- Setup. Installing Core and the Business Systems your plan includes is part of your plan. There is no separate setup fee.
- Price changes. If we change the price of your plan or our usage rates, we will email you at least 30 days before the change. The new price applies from your first renewal after that notice. If you do not agree, you can cancel before then.
5. Payment
When you add a payment method, you authorize us and our payment processor to charge it for your plan every month, for usage credits you buy or that automatic top-up buys for you, and for any add-in you order. Card details are held by the payment processor, not by us.
Failed payments. If a charge fails, we will retry it and email you. If the amount is still unpaid 7 days after that email, we may pause your Workspace until it is paid. Paused Workspaces do not send automations or messages.
Taxes. Prices do not include taxes. We add sales tax or similar taxes where the law requires us to collect them.
Billing questions first. If you think a charge is wrong, email support@apeiroiq.com before you dispute it with your bank. See the Refund and Cancellation Policy for how we handle chargebacks.
All amounts are in US dollars.
6. Cancelling
You can cancel at any time in the app, in your Account’s billing settings. You can also cancel by emailing support@apeiroiq.com from the email address on the Account. We confirm every cancellation by email.
Cancelling stops your next renewal. You keep access until the end of the month you have already paid for. We do not refund part-months; see the Refund and Cancellation Policy.
Before your access ends, you can export your contacts and other Customer Data from the app. What happens to your data after that is in Data after your plan ends.
7. Refunds
Refunds are covered by the Refund and Cancellation Policy, which is part of these Terms.
8. Your right to use the Service
While your plan is active, we give you a limited, non-exclusive, non-transferable right to use the Service for your own business. You may not, and may not let anyone else:
- copy, change, take apart or try to find the source code of the Service;
- resell, rent, sublicense or share access to the Service, unless we agree in writing;
- scrape or harvest data from the Service, or access it with bots other than through features we provide;
- use the Service to build a competing product;
- get around usage limits, security controls or billing; or
- remove our names, notices or labels from the Service.
9. Fair use
The Service is built for the normal day-to-day use of a business. If your use harms the Service, slows it for others, or creates unusual cost or carrier risk (for example, very large sending bursts or storage far beyond normal use), we may limit that use, ask you to change plans, or pause it. When we can, we will contact you first and give you a chance to fix it.
10. Acceptable use
The Acceptable Use Policy is part of these Terms. You must follow it, and you must make sure your Authorized Users know about it and follow it too.
11. Texts, calls and email you send
You are the sender of every text, call and email that goes out from your Workspace, including messages sent by automations and AI agents. You are responsible for following the laws and carrier rules that apply to them. That means you must:
- get the consent the law requires before you text or call someone, including prior express written consent for marketing texts and for calls that use automated technology or an artificial or AI voice;
- never use purchased, rented or shared contact lists;
- honor every opt-out request within 48 hours, by any reasonable means the person uses, and keep the person opted out;
- name your business in your messages and include opt-out directions where required;
- respect calling and texting hours, the National Do Not Call Registry, state do-not-call lists and your own do-not-call list;
- register your text-messaging brand and campaign with the carriers before you text (we help you file it, and texts from your Workspace do not send until it is approved);
- hold any state telemarketing registration that applies to you, including the Texas telephone solicitation registration where it applies; and
- keep records of consent: when and how it was given, the wording shown, and the phone number or email.
The SMS Terms and the Acceptable Use Policy give more detail. We may block messages or pause sending if a carrier, provider or recipient complains, or if we believe sending breaks the law or these Terms.
12. AI Features
AI Features can answer calls and messages, ask your questions, book appointments, draft and send messages, and summarize conversations. They run on AI models from third-party providers.
- AI output can be wrong or incomplete. Review it before you rely on it.
- The AI models available in the Service, and the providers behind them, can change at any time. We do not control those providers or how they handle data; their own terms apply.
- You must tell people when they are talking to an AI agent, and offer a way to reach a person.
- You may not use AI Features to make decisions with legal or similar effects on people, such as approving or denying a rental or purchase application, credit or lending decisions, or legal advice, unless a qualified person reviews each decision.
The AI Use Policy is part of these Terms. The IQ, our planned business brain, is not available yet; it will have its own terms when it opens.
13. Business Systems and setup
A Business System is a configuration we build and install in your Workspace: pipelines, fields, automations with written messages, and form routing. Automations we install arrive turned off. You read them, change anything you like, and decide when to turn each one on.
Once you turn an automation on, the messages it sends are yours, and you are responsible for their content and for having consent to send them. A Business System is software configuration. It is not legal, marketing, brokerage or compliance advice.
We own the designs and templates of our Business Systems and let you use them while your plan is active. Content you add or change for your own business, such as your business name, your edited messages and your contacts, is yours.
14. Service providers and connected tools
We run the Service on third-party service providers, including a hosting and software platform, phone and text carriers, email delivery, payment processing, AI model providers and a content delivery network. The categories are listed on our Service Providers page.
- Each provider is responsible for its own service. Each provider runs its own systems and is responsible for its own service, its own security, and how it stores and processes data under its own terms. We choose providers with care, but we do not control them.
- What we are not liable for. To the fullest extent the law allows, we are not liable for a provider’s acts or failures, including its outages, data breaches, errors, changes to its terms, prices, features, data practices or processing locations, or its decision to stop offering a service.
- Information about providers. What we publish about our providers, such as where they process data and whether they use data to train AI models, is based on what the providers themselves publish. We update it when we learn of a change, but we cannot promise it is complete or current.
- When a provider changes. If a provider changes or stops a service, or raises its prices, we may change, replace or remove the affected feature or change our usage rates, as described in section 4. We will tell you when we can.
If you connect your own accounts, such as a calendar, an email account or a payment account, that connection is also governed by that provider’s terms, and you are responsible for your account with them.
15. Your data and your contacts’ privacy
Customer Data belongs to you. For End Contact data, you decide what is collected and why, and we process it for you to provide the Service. In privacy-law terms, you are the controller and we are your processor or service provider.
- We use Customer Data only to provide, secure and support the Service, and as the law requires.
- You must give your End Contacts your own privacy notice and have a lawful basis, including any consent required, for the data you load and the messages you send.
- You are responsible for answering your End Contacts’ privacy requests. If one comes to us, we send it to you and help where we can.
- Our own handling of personal information, such as your Account details and visitors to our website, is described in the Privacy Policy.
16. Data processing addendum
A data processing addendum is available on request at support@apeiroiq.com. Once signed, it becomes part of these Terms and controls if it conflicts with them on data protection.
17. Data after your plan ends
While your plan is active, you can export your Customer Data from the app at any time. After your plan ends, we keep your Workspace data for 30 days so you can return or export it, and then we delete it, except for records we must keep by law, such as billing records, which we keep for 7 years. Deleted data can stay in backups until those backups are replaced. We are not responsible for data you did not export before it was deleted.
18. Security and breaches
We use reasonable administrative, technical and physical safeguards to protect Customer Data, including encrypted connections and limited staff access. No system is perfectly secure.
If we learn of a breach that affects your Customer Data, we will tell you without unreasonable delay and share what we know. If the law requires notice to your End Contacts, you are responsible for giving it, and we will help with the facts we have. You are responsible for keeping your logins secure and for the security settings you control in your Workspace.
19. Ownership and feedback
We and our licensors own the Service, the Apeiro IQ name and brand, our Business System designs, templates and help content. These Terms do not give you any ownership in them.
You own your Customer Data. You give us permission to host, copy, process and display it only as needed to provide and support the Service. If you send us ideas or feedback, we may use them without owing you anything. We may use usage data that does not identify you or your End Contacts to run and improve the Service.
20. Software, not advice, and no promised results
Apeiro IQ is software. We do not give legal, tax, accounting, real estate brokerage, lending or financial advice, and nothing in the Service, our help center or our calls is that kind of advice. Apeiro IQ is not a business opportunity.
We make no promise of any income, number of deals or other business result. What you get from the Service depends on your own work, your market and many other things outside our control. You are responsible for following the laws that apply to your business, including real estate licensing and fair housing laws.
21. Features marked beta or coming
Some features may be marked beta, preview or coming. They are offered as they are, may change or stop at any time, and may have extra terms. The IQ is not available yet. Joining the waitlist does not create a purchase or a promise that it will be released by any date.
22. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT MESSAGES WILL BE DELIVERED.
23. Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS WILL NOT BE MORE THAN THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM; AND (B) WE ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE OR LOST DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
24. Your responsibility for claims
You will defend, indemnify and hold harmless Wilkinson Impact, Tim Wilkinson, and our service providers from claims, fines, penalties, losses and costs (including reasonable attorneys’ fees) that come from:
- texts, calls, voicemails or emails sent from your Workspace, including claims under the Telephone Consumer Protection Act, CAN-SPAM, do-not-call rules, Texas telephone solicitation laws or similar state laws, and carrier fines;
- your use of AI Features, including failing to disclose AI or to get consent for recording;
- Customer Data, including your right to collect and use it;
- your websites, forms and content; and
- your or your Authorized Users’ breach of these Terms or of the law.
25. Pausing and ending the Service
We may pause your Workspace or sending right away, without notice, if a carrier or provider complains, if your messaging or calling looks abusive or unlawful, if there is a security risk, or if paying is overdue as described in section 5. We will tell you why and how to fix it when we can.
You can end these Terms by cancelling. We can end them if you materially break them and do not fix it within 14 days of our notice, or right away for serious breaches of the Acceptable Use Policy. When the Terms end, your right to use the Service stops, any unpaid amounts become due, and Data after your plan ends applies to your data. Sections that by their nature should continue (such as payment, ownership, disclaimers, liability limits, indemnity and disputes) continue after the end.
26. Confidentiality
Each of us may see the other’s non-public information, such as your Customer Data or our pricing plans before launch, product plans and security details. Each of us will use it only for the Service and protect it with reasonable care. This does not cover information that is public, already known, independently developed, or that the law requires to be shared.
27. Websites and forms you build
You are responsible for websites, funnels, forms and pages you build with the Service, including their content, their accessibility, the legal notices and privacy policy they need, and your rights to every image, text and file you publish.
28. No health records
Do not store protected health information in the Service. We do not sign business associate agreements unless we have agreed to one in writing.
29. Export rules and sanctions
You may not use the Service in a country, or for a person, that is subject to US sanctions or export restrictions, and you confirm that you are not on a US government restricted-party list.
30. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any lawsuit about the Service or these Terms must be brought only in the state or federal courts located in Tarrant County, Texas, and both of us agree to those courts.
Notice before a lawsuit. Before filing a lawsuit, the party with the complaint must send the other a written description of it (to us at support@apeiroiq.com and our mailing address) and allow at least 30 days to resolve it. This does not apply to requests for urgent court orders, or where waiting would cause a claim to run out of time.
The party that wins a lawsuit about these Terms may recover its reasonable attorneys’ fees and costs.
To be decided: Whether to add binding arbitration and a class-action waiver (attorney decision).
31. Changes to these Terms
We may update these Terms. For material changes we will email the Account owner at least 30 days before they take effect and update the date at the top of this page. For a renewing plan, a material change applies from your first renewal after the notice. If you do not agree, you can cancel before then. Continuing to use the Service after the change takes effect means you accept it.
32. General terms
- Entire agreement. These Terms and the pages they include are the whole agreement between us about the Service. If a signed order form or data processing addendum conflicts with these Terms, the signed document controls for the matter it covers.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them to a business that takes over the Service, including a company Tim Wilkinson forms or controls, by giving you notice.
- Severability and waiver. If a part of these Terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it.
- Events outside our control. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as disasters, outages of the internet or of providers, or government action. This does not excuse payment.
- Notices. We send notices to the Account owner’s email. You send notices to support@apeiroiq.com, with a copy by mail to our mailing address for legal notices.
- Electronic signature and communications. Checking a box, clicking to accept or paying online counts as your signature. You agree to receive notices and records from us electronically.
